1. Agreement to Terms

By accessing or using Dream MRP ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

Dream MRP is operated by Manu Online Limited, a company registered in England and Wales with company number 07273799 ("Company", "we", "our", or "us"). The Service provides Manufacturing Resource Planning (MRP) functionality that integrates with third-party accounting and e-commerce platforms, including Xero and QuickBooks Online (accounting) and Shopify (e-commerce).

2. Account Registration

2.1 Platform Integrations

Dream MRP connects to third-party accounting and e-commerce platforms to provide its functionality. Use of the Service requires an active subscription with at least one supported accounting provider. Supported integrations currently include:

  • Xero — accounting integration for inventory, contacts, and purchase and sales orders.
  • QuickBooks Online — accounting integration for inventory, contacts, and purchase and sales orders.
  • Shopify — e-commerce integration for products, variants, and inventory levels.

By connecting one or more of these accounts, you authorize us to:

  • Access and read data from your connected organisation, company, or store
  • Create and update purchase orders in your connected accounting system
  • Access inventory, product, contact, and purchase and sales order information

The specific data we access depends on the platforms you connect and the permissions you grant during authorization. You may disconnect a platform at any time, which revokes our access to that platform.

2.2 Account Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Ensuring the accuracy of information you provide
  • Notifying us immediately of any unauthorized access
  • Maintaining an active subscription with a supported accounting provider

2.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using the Service, you represent and warrant that you meet these requirements.

3. Subscription and Billing

3.1 Plans and Pricing

Dream MRP offers multiple subscription tiers (Starter, Standard, Premium) with different features and SKU limits. Pricing is available on our website and may vary by region. All prices are exclusive of applicable taxes.

3.2 Payment Terms

  • Subscriptions are billed through the Xero Marketplace. The terms and conditions of this are available from the Xero Marketplace website.
  • Payment is due upon subscription or renewal
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension

3.3 Refund Policy

We offer a 30-day money-back guarantee for new subscribers. Refunds are prorated for annual subscriptions cancelled within the first 30 days. After this period, no refunds are provided for partial billing periods.

3.4 Plan Changes

You may upgrade your plan at any time, with charges prorated for the current billing period. Downgrades take effect at the start of the next billing cycle.

3.5 Price Changes

We may modify subscription prices with 30 days' notice. Price changes apply to renewals but not to current billing periods. Continued use after a price change constitutes acceptance.

4. Acceptable Use

4.1 Permitted Use

You may use Dream MRP solely for:

  • Managing your organisation's manufacturing and procurement processes
  • Calculating material requirements based on your connected platform data
  • Generating purchase orders within your connected accounting system (such as Xero or QuickBooks Online)

4.2 Prohibited Use

You may NOT:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Transmit viruses, malware, or harmful code
  • Overload or interfere with the Service's infrastructure
  • Share your account with unauthorized users
  • Violate any applicable laws or regulations

5. Service Availability

5.1 Uptime Commitment

We strive to maintain 99.5% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

5.2 Third-Party Dependencies

The Service depends on the APIs of the platforms you connect (such as Xero, QuickBooks Online, and Shopify) and on Microsoft Azure infrastructure. We are not liable for outages or issues caused by these third-party services.

6. Data and Privacy

We process your Xero data as a data processor under your instruction. Our Privacy Policy explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

7. Intellectual Property

Dream MRP and all related trademarks, logos, software, and content are owned by us or our licensors. You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely to provide the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS
  • WE ARE NOT LIABLE FOR ERRORS OR INACCURACIES IN MRP CALCULATIONS
  • YOU ARE RESPONSIBLE FOR VERIFYING ALL PURCHASE ORDERS BEFORE SUBMISSION

8.1 Automated Purchase Orders and Commitments

IMPORTANT: Dream MRP includes automation features (including, without limitation, scheduled MRP runs, automatic approval rules, and the nightly run) that may, in certain configurations, generate, approve, and issue purchase orders and other procurement commitments automatically and without human intervention. Such automatically generated commitments may be sent to your suppliers and recorded in your connected accounting system.

You acknowledge and agree that:

  • You are solely responsible for configuring, reviewing, and monitoring any automation features you enable;
  • You are solely responsible for monitoring all automatically generated purchase orders, commitments, and supplier communications, and for cancelling or correcting any that are unintended, inaccurate, or unwanted;
  • Automatically generated commitments may create binding obligations between you and your suppliers, for which you are solely responsible;
  • Manu Online Limited shall not be liable in any way for any purchase orders, commitments, orders, costs, losses, or liabilities arising from the automated or unattended operation of the Service, whether or not you actively reviewed them.

If you do not wish purchase orders to be issued without human review, you must disable the relevant automation features in your account settings.

9. Indemnification

You agree to indemnify and hold harmless Dream MRP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your account if you violate these Terms, your payment fails and you don't update it within 14 days, or you engage in fraudulent or abusive behavior.

10.3 Effect of Termination

Upon termination, your access to the Service will be revoked, Xero OAuth tokens will be immediately deleted, and your data will be deleted within 30 days (unless legally required to retain).

11. Modifications to Service and Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the Service. Continued use after changes become effective constitutes acceptance.

12. Dispute Resolution

These Terms are governed by the laws of England. Any disputes shall be resolved through binding arbitration in England, except that either party may seek injunctive relief in court.

13. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dream MRP regarding the Service. If any provision is found invalid, the remaining provisions remain in full force and effect.

14. Third-Party Platforms and Trademarks

As a Xero Marketplace application, Dream MRP complies with Xero's Partner Terms and technical requirements. We are not affiliated with, endorsed by, or sponsored by Xero. Xero is a trademark of Xero Limited.

Dream MRP also integrates with Intuit QuickBooks Online and Shopify. We are not affiliated with, endorsed by, or sponsored by Intuit or Shopify. QuickBooks is a trademark of Intuit Inc. Shopify is a trademark of Shopify Inc. Your use of each connected platform remains subject to that platform's own terms of service.
